Dieses Dokument ist nur auf Englisch verfügbar.

These Subscription Terms (the "Terms") govern access to and use of the Eproma software platform (the "Service") and form a contract between Eproma Software Ltd, Pavlou Valdaseridi Street no. 6, #402, 6018 Larnaca, Cyprus, registration number HE 495427, VAT number CY60393264H ("Eproma", "we", "us"), and the business that creates an account or subscribes (the "Customer", "you").

1. Business customers only

1.1 The Service is offered only to businesses, real estate agencies and individuals acting in the course of their trade, business or profession. By creating an account, you confirm that you are not acting as a consumer and that you are authorised to bind the business you name. Consumer protection rules, including any statutory right of withdrawal for consumers, do not apply.

1.2 These Terms apply to the exclusion of any terms of the Customer, even if we do not expressly object to them.

1.3 The Data Processing Agreement (Annex 1) forms part of these Terms.

1.4 An individual written agreement between you and us takes precedence over these Terms.

2. Account, trial and subscription

2.1 Account. You create an account at crm.eproma.io by entering your work email address, name, mobile number and agency website, and confirming your email address with a verification code. You accept these Terms by ticking the acceptance box during sign-up. We record the date and the version of the Terms you accepted.

2.2 Free trial. A new account includes a free trial of 7 days. The "Just explore" option is a 7-day trial limited to 5 properties and 5 contacts. No payment method is needed for the trial. At the end of the trial the account is restricted unless you subscribe. If you do not subscribe, we delete the account and its data 30 days after the trial ends. Launch offer. If you subscribe to a paid plan directly, without first using the free trial, no subscription fees are charged for the period up to and including 31 December 2026. Regular billing for your chosen plan starts on 1 January 2027.

2.3 Subscription. You subscribe by choosing a plan and billing period in the billing area of your account and entering your billing details and payment method. Before confirming, you can review and correct your entries. The contract for the paid subscription is concluded when we confirm the subscription in the platform or by email.

2.4 The contract language is English. These Terms are available at any time at www.eproma.io/subscription-terms.

3. The Service

3.1 Eproma is a cloud-based real estate CRM, website and marketing platform provided as software-as-a-service. Its functions depend on the plan, as described on the Website at the time you subscribe.

3.2 We grant you, for the subscription term, a non-exclusive, non-transferable, non-sublicensable right to use the Service for your own business purposes, for the number of users included in your plan.

3.3 We continuously develop the Service and may modify, update or replace functions, provided that the core functionality of your plan is not materially reduced.

3.4 We aim for availability of 99.5% per calendar month, excluding scheduled maintenance (announced in advance where possible) and events beyond our reasonable control.

4. Fees, payment and taxes

4.1 The prices shown at the time of subscription apply. All prices are exclusive of VAT. For customers in other EU Member States with a valid VAT number, the reverse-charge mechanism applies. For customers in Cyprus and customers without a valid VAT number, VAT is added at the applicable rate.

4.2 Fees are invoiced in advance for each billing period (monthly or annually) and collected by our payment provider Stripe from the payment method you provide. You authorise us to charge recurring fees and any one-off charges you order (for example domain registrations) to that payment method.

4.3 Introductory or promotional prices apply only for the period stated in the offer; after that, the regular price applies.

4.4 Fees paid are non-refundable, including on early termination or non-use, unless these Terms or the law provide otherwise.

4.5 If a payment fails, we will notify you. If payment is not made within 14 days of that notice, we may suspend access until payment is received.

4.6 We may change prices with effect from the next billing period by giving at least 30 days' notice by email. If you do not agree, you may cancel with effect from the end of the current billing period.

5. Term and termination

5.1 The subscription runs for the billing period you select and renews automatically for the same period unless cancelled.

5.2 Either party may cancel with effect from the end of the current billing period, in the billing area of the account or by email to info@eproma.io.

5.3 Either party may terminate immediately by written notice if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent or enters into liquidation, administration or an arrangement with creditors.

6. Your obligations and acceptable use

6.1 You are responsible for keeping login details confidential and for all activity under your account. Tell us immediately at info@eproma.io if you suspect unauthorised use.

6.2 You must not, and must ensure your users do not:

  • use the Service for unlawful purposes or to store or publish unlawful content;
  • send spam or unsolicited marketing, or messages without the consents required by law;
  • infringe the intellectual property, privacy or other rights of any person;
  • copy listings, images or data from property portals or other sources in breach of their terms;
  • attempt to bypass security measures, probe for vulnerabilities, reverse engineer or copy the software;
  • overload the Service, or access it by automated means other than through the interfaces we provide; or
  • make the Service available to anyone outside your organisation.

6.3 You are responsible for ensuring that the data you store in the Service, the content you publish through it (including your agency website and property listings), and the communications you send through it (for example emails, newsletters, SMS and WhatsApp messages) comply with applicable law, in particular data protection, consumer, real estate advertising and anti-spam law.

6.4 The Service is not an anti-money-laundering, customer due diligence or whistleblowing system. If you are an obliged entity under anti-money-laundering law (for example the Cyprus Prevention and Suppression of Money Laundering and Terrorist Financing Law of 2007, or equivalent law in your country), you remain solely responsible for meeting those obligations, even if you record related information in the Service.

7. Customer Data

7.1 All data you enter into or upload to the Service ("Customer Data") remain yours. You are the controller of personal data contained in Customer Data.

7.2 We process personal data in Customer Data on your behalf as processor under the Data Processing Agreement (Annex 1).

7.3 The Service is hosted in a data centre in Germany (European Union).

7.4 You may export your Customer Data at any time during the term and for 30 days after it ends. We then delete Customer Data within 90 days, unless we are required by law to keep it.

8. AI features

8.1 The Service includes functions based on artificial intelligence, in particular an AI assistant, AI search, text generation and translation, and reading of uploaded documents (for example PDF files imported into the document storage) ("AI Features").

8.2 Output of AI Features may be inaccurate, incomplete or unsuitable. You must review AI output before using or publishing it and are solely responsible for its use, in particular for property descriptions and communications to your clients.

8.3 Where the law requires it (including Article 50 of the EU AI Act), you are responsible for informing the people you communicate with that content was generated by AI or that they are interacting with an AI system, when you use AI Features for that purpose.

8.4 To provide AI Features we use an AI model provider (currently OpenAI) as sub-processor, as listed in the Data Processing Agreement. Customer Data are sent to them only as far as needed to produce the requested result. Neither we nor this provider uses Customer Data to train AI models.

9. Third-party services and integrations

9.1 The Service lets you connect third-party services, such as property portals, XML feeds, email, messaging, calendar, e-signature and domain services ("Third-Party Services").

9.2 Use of Third-Party Services may require a separate contract and fees with the provider. We are not responsible for the availability, functionality or content of Third-Party Services, or for changes by their providers that affect an integration.

9.3 If you connect external tools or AI agents to the Service through our interfaces (API, MCP or similar), they act with the rights of the authorising user, and you are responsible for their actions.

9.4 Some optional functions for agency websites, such as the mortgage calculator of MBF Dreams S.L. (trading as Habeno), Centro Comercial Oasis, 29600 Marbella, Spain, are provided by the third party in its own embedded window under its own terms. Eproma passes only non-personal information to it (for example the published property price, the page language and your partner identifier). Data that visitors enter there goes directly to that provider and not to Eproma, so the provider is not our sub-processor. You should name such providers in the privacy notice of your agency website.

10. Intellectual property

10.1 All rights in the Service, the software, its interface, design, documentation and the Eproma brand remain with Eproma Software Ltd or its licensors.

10.2 We may use any feedback or suggestions you give us to improve the Service, without obligation to you.

11. Confidentiality

Each party will keep confidential the non-public information it receives from the other in connection with these Terms and use it only to perform them. This obligation continues for three years after the contract ends.

12. Warranty

12.1 We will provide the Service with reasonable skill and care and substantially in accordance with the plan description, and will remedy reported defects within a reasonable time.

12.2 Except as stated in clause 12.1, the Service is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that it will meet requirements not set out in the plan description.

13. Hosted websites and notice of illegal content

13.1 Where you publish an agency website or other content through the Service, we act as a hosting service provider within the meaning of the Digital Services Act (Regulation (EU) 2022/2065).

13.2 Anyone may notify us of content they consider illegal by email to info@eproma.io. The notice should include an explanation of why the content is considered illegal, the exact web address of the content, the name and email address of the person giving notice (except for certain offences involving child sexual abuse material), and a statement that the notice is given in good faith and is accurate and complete.

13.3 We will process notices promptly, diligently and objectively, and may remove or disable access to content, or suspend the relevant account, where content is illegal or breaches clause 6. We will inform the affected Customer of any such decision and the reasons for it, and of the available means of redress, as required by Article 17 DSA.

14. Limitation of liability

14.1 Neither party is liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data (except, for data, to the extent that the loss would not have been avoided by the Customer making regular exports).

14.2 Our total aggregate liability arising under or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid by the Customer in the twelve months before the event giving rise to the claim. During a free trial, our liability is limited to EUR 100.

14.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any liability that cannot be limited or excluded by law.

15. Indemnity

You will indemnify us against all third-party claims, losses and reasonable legal costs arising from your unlawful use of the Service, your Customer Data or content, or your breach of clause 6.

16. Suspension

We may suspend access temporarily, with prior notice where reasonable, if there is a material breach of clause 6, a security risk to the Service or other customers, or non-payment under clause 4.5.

17. Reference customer

We may name you as a customer, including your company name and logo, in our marketing materials, unless you object by email to info@eproma.io.

18. Changes to these Terms

We may amend these Terms for valid reasons, for example legal changes or new functions, by notifying you at least 30 days before the change takes effect. If you object within that period, either party may terminate the contract with effect from the date the change takes effect; otherwise the change is deemed accepted. We will remind you of this consequence in the notice.

19. General

19.1 These Terms, the Data Processing Agreement and any order confirmation form the entire agreement between the parties about their subject matter.

19.2 If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

19.3 We may transfer the contract to an affiliated company or to a successor in a merger or sale of our business. You may not assign the contract without our prior written consent.

19.4 Neither party is liable for delay or failure caused by events beyond its reasonable control.

19.5 No failure or delay in exercising a right is a waiver of that right. A person who is not a party to these Terms has no right to enforce them.

19.6 Notices to us must be sent to info@eproma.io; notices to you are sent to the email address of your account.

19.7 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus, in particular the District Court of Larnaca, have exclusive jurisdiction.
